Welcome to Wellness Path Holding. The terms "we", "us" and "our" refer to Wellness Path Holding S.R.L.
Wellness Path Holding operates this store and website, including the related information, content, features, tools, products and services made available through it (collectively, the "Services"). Our online store is powered by Shopify, which provides the e-commerce technology that enables us to offer the Services.
These Terms of Service, together with any policies expressly referenced herein (collectively, the "Terms"), describe the rights and responsibilities applicable when you access or use the Services or purchase products directly from Wellness Path Holding.
Please read these Terms carefully. They contain important information regarding orders, payments, delivery, consumer rights, warranties and liability.
By accessing or using the Services, you agree to these Terms to the extent applicable to your use of the Services. Personal data is processed in accordance with our Privacy Policy.
Nothing in these Terms excludes, restricts or otherwise affects any mandatory rights or protections available to consumers under applicable law.

By using the Services, you represent that you have the legal capacity required under the laws applicable to you to use the Services and, where applicable, to enter into a purchase contract with us.
If you allow a minor to use the Services through a device or account under your control, you are responsible for such use to the extent permitted by applicable law.
To use certain features of the Services or make a purchase, you may be asked to provide information such as your name, email address, billing information, payment information and shipping details. You agree to provide information that is accurate, current and complete and that you are entitled to provide.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity carried out through your account, except where responsibility cannot lawfully be attributed to you.
You may not sell, transfer, assign or otherwise provide your customer account to another person without our prior consent.
SECTION 2 - OUR PRODUCTS
We make reasonable efforts to ensure that product descriptions, images, specifications, prices and other information displayed through our online store are accurate and up to date.
Product colours or appearance may vary slightly from how they appear on your screen due to differences in display settings, device configuration, lighting or photographic conditions.
Products purchased directly from Wellness Path Holding are required to conform to the applicable sales contract and to mandatory consumer protection requirements. Nothing in these Terms limits your statutory rights relating to defective, incorrect or non-conforming goods.
Product descriptions, specifications and availability may be updated where reasonably necessary. We may discontinue products or limit their availability in particular geographic regions, subject to applicable law and without affecting contracts already concluded with consumers.
Products displayed on our website may include products sold directly by Wellness Path Holding as well as products available through independent external retail partners. Where a product is purchased from an external retailer, the transaction is concluded with that retailer rather than Wellness Path Holding, as clearly indicated before the customer leaves our website or completes the external transaction.
SECTION 3 - ORDERS
When you place an order directly with Wellness Path Holding, you are making an offer to purchase the relevant products.
Receipt of an automated acknowledgement or order submission confirmation does not necessarily constitute acceptance of the order unless expressly stated. A purchase contract is concluded when we confirm acceptance of your order or otherwise confirm that the order has been accepted for fulfilment.
We may decline or cancel an order where reasonably necessary, including where a product is unavailable, payment cannot be authorised, information provided is materially incorrect, fraud or misuse is reasonably suspected, a material pricing or product information error has occurred, or fulfilment would breach applicable law.
Where payment has already been collected for an order that we are unable to fulfil, the relevant amount will be refunded in accordance with applicable law.
Please review your order carefully before submitting it.
Cancellation, withdrawal, return, refund and other consumer remedies are governed by our Refund Policy and applicable consumer protection law. Nothing in these Terms or in our Refund Policy limits any mandatory rights available to you as a consumer.
Purchases completed through an independent external retailer are concluded with that retailer and are subject to the retailer's applicable ordering, payment, delivery, cancellation and return terms.
SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions may change from time to time. The price applicable to a product or service will be the price clearly displayed at the time the order is placed and will be confirmed in the order confirmation documentation applicable to the transaction.
Prices displayed on our store include all applicable taxes where required by applicable law. Shipping and delivery charges, where applicable, are calculated and clearly displayed before the customer completes the purchase.
Where additional charges cannot reasonably be calculated in advance, customers will be clearly informed before placing their order that such charges may apply. Customers will not be required to pay additional charges that were not properly disclosed before the order was placed.
For international orders, customs duties, import taxes or other charges imposed by the destination country may apply where legally applicable. Where such charges cannot be calculated or collected by us in advance, customers will be clearly informed before placing their order that additional charges may apply.
Prices displayed on our online store may differ from prices offered by independent third-party retailers or sellers. Prices applicable to purchases made through external retailers are determined by the relevant retailer and should be verified on the retailer's website before completing the purchase.
We may offer promotions from time to time that are subject to separate promotional terms and conditions. If there is a conflict between the terms of a specific promotion and these Terms, the specific promotional terms will apply to that promotion, without limiting mandatory consumer rights.
You agree to provide current, complete and accurate purchase, payment and account information for purchases made directly through our store. You agree to promptly update relevant information where necessary for us to complete your transactions and contact you regarding your orders.
You represent that you are authorised to use the payment method selected for the purchase.
For purchases made directly from Wellness Path Holding, the total amount payable, including the product price, applicable taxes and any applicable shipping, delivery or other disclosed charges, will be presented before the order is placed.
SECTION 5 - SHIPPING AND DELIVERY
Delivery times provided on our store are estimates unless a specific delivery date or timeframe has been expressly agreed.
We will make reasonable efforts to process and deliver orders within the timeframes communicated to you at the time of purchase and in accordance with applicable consumer protection law.
We are not responsible for delays caused solely by circumstances outside our reasonable control, including carrier disruptions, customs processing, severe weather, strikes or other events beyond our reasonable control. We will nevertheless comply with any obligations and remedies required by applicable consumer protection law in the event of a delay.
Nothing in this Section limits or excludes any rights or remedies available to consumers under applicable law.
Where we arrange delivery of products to you, the risk of loss or damage remains with us until you, or a third party designated by you other than the carrier, acquire physical possession of the products.
If you independently arrange delivery using a carrier that was not offered by us, the risk of loss or damage passes to you when the products are delivered to that carrier, to the extent permitted by applicable law.
For products purchased from independent external retailers, shipping, tracking, delivery and associated terms are determined and managed by the relevant retailer.

SECTION 6 - INTELLECTUAL PROPERTY
The Services, including trademarks, trade names, logos, text, graphics, images, videos, audio, website design, layout and other content made available through the Services, are owned by or licensed to Wellness Path Holding, its affiliates, licensors or other respective rights holders and are protected by applicable intellectual property laws.
These Terms permit you to access and use the Services for your personal, non-commercial use.
Unless otherwise permitted by applicable law or expressly authorised by us or the relevant rights holder, you may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, transmit or otherwise commercially exploit protected materials made available through the Services.
Nothing in these Terms grants you any ownership interest, licence or other intellectual property right except where expressly stated.
The Wellness Path Holding name, logos, designs, product or service names and other brand identifiers owned by Wellness Path Holding may not be used without our prior written permission.
Shopify's name, logo and other brand identifiers are trademarks of Shopify or their respective rights holders.
Other trademarks, brand names, product names and logos displayed through the Services remain the property of their respective owners.
SECTION 7 - OPTIONAL TOOLS
We may provide access to tools, applications or functionality operated by independent third parties. Such third-party services may be subject to their own terms and privacy policies.
We do not control independent third-party tools and cannot guarantee their continued availability, performance or compatibility.
Your use of such tools may be subject to the applicable third-party terms.
Nothing in this Section excludes or limits any liability that cannot lawfully be excluded or any mandatory rights available to you under applicable law.
We may introduce new features, tools or functionality through the Services from time to time. Such features may also be subject to these Terms and, where relevant, additional terms disclosed before their use.
SECTION 8 - THIRD-PARTY LINKS AND EXTERNAL RETAILERS
The Services may contain links to websites, products or services operated by independent third parties.
We do not control the content, availability, pricing, terms or practices of independent third-party websites.
Where you leave the Wellness Path Holding website and complete a purchase through an external retailer, the resulting transaction is concluded with that retailer. Product availability, final price, payment, shipping, delivery, returns, warranties and customer service relating to that external transaction are subject to the relevant retailer's applicable terms and policies.

Questions or claims relating specifically to a transaction concluded with an external retailer should generally be directed to that retailer.

Our online store is powered by Shopify, which provides the e-commerce technology used to operate portions of the Services.
For products purchased directly from Wellness Path Holding through our store, the sales contract is concluded between you and Wellness Path Holding. Shopify is not the seller of those products.
Shopify may provide technological, payment, hosting or other services involved in processing or supporting transactions and may process information as described in the applicable privacy documentation.
Nothing in this Section excludes or limits any rights or liability that cannot lawfully be excluded or limited under applicable law.
SECTION 10 - PRIVACY
Personal information collected through the Services is processed in accordance with our Privacy Policy.
Because our store is powered by Shopify, Shopify may process certain personal information in connection with the provision, security and operation of the Services. Certain processing may also be subject to Shopify's applicable privacy documentation.

You retain ownership of your Feedback.

Any warranties, representations or guarantees relating to a particular product are subject to the product information displayed at the time of purchase and to mandatory statutory rights applicable to the transaction.

Nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited.
Nothing in these Terms excludes or limits your mandatory rights as a consumer, including rights relating to defective or non-conforming goods, statutory guarantees, refunds, withdrawal rights or other remedies provided by applicable consumer protection law.
To the extent permitted by applicable law, Wellness Path Holding will not be liable for indirect or consequential losses that were not reasonably foreseeable at the time the relevant contract was concluded.
Nothing in this Section excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where such liability cannot legally be excluded, or any other liability that applicable law prohibits us from excluding or limiting.
For products or services purchased directly from an independent third-party retailer through an external link, the relevant retailer's contractual terms, warranties and liability provisions apply to that separate transaction.
Nothing in the preceding paragraph excludes any liability Wellness Path Holding may have under applicable law for its own acts or omissions.
SECTION 18 - RESPONSIBILITY FOR YOUR USE OF THE SERVICES
You are responsible for using the Services lawfully and in accordance with these Terms.
To the extent permitted by applicable law, you may be responsible for losses reasonably and directly incurred by Wellness Path Holding as a result of your unlawful use of the Services, intentional or negligent material violation of these Terms, fraud, malicious conduct or infringement of third-party rights.
Nothing in this Section imposes obligations on consumers beyond those permitted by applicable law or excludes or restricts mandatory consumer protection rights.

Nothing in this Section excludes, restricts or otherwise affects mandatory rights or protections available to consumers under applicable law.
Where a written consumer term is ambiguous, it will be interpreted in accordance with applicable consumer protection law.

You may not transfer or assign your rights or obligations under these Terms except where permitted by applicable law or with our prior written consent.
We may transfer or assign our rights or obligations under these Terms in connection with a restructuring, merger, acquisition, sale or transfer of all or part of our business or a similar corporate transaction, provided that such transfer does not reduce or adversely affect any mandatory rights you have as a consumer under applicable law.
Where notice of such transfer is required by applicable law, we will provide it accordingly.
SECTION 22 - GOVERNING LAW AND JURISDICTION
These Terms of Service and any contracts concluded directly with Wellness Path Holding are governed by the laws of Romania.
If you are a consumer, this choice of law does not deprive you of any mandatory consumer protection rights granted to you by the laws that would otherwise apply to you, including, where applicable, the laws of the country in which you habitually reside.
Any dispute arising from or relating to these Terms or a contract concluded directly with Wellness Path Holding may be brought before the courts having jurisdiction under applicable law.
Nothing in these Terms restricts any jurisdictional rights available to consumers under mandatory applicable law.
Nothing in this Section limits your right to use any applicable alternative dispute resolution or consumer redress mechanism.

Changes to these Terms will apply prospectively from their effective date and will not retroactively alter the terms applicable to a purchase contract already concluded, unless such change is required by applicable law or is expressly agreed between the parties where legally permitted.
Your continued use of the Services after updated Terms become effective may constitute acceptance of the updated Terms to the extent permitted by applicable law.
